ADIA Governance Subcommittee

Board governance that keeps strategy sharp, oversight strong, and members front-and-centre.

The Australian Dental Industry Association (ADIA) Board provides strategic direction and administrative and financial oversight. To ensure Board meetings are conducted efficiently, the Board — Governance Subcommittee considers matters in detail within its remit.

The Subcommittee supports the Board in maintaining an appropriate composition of Directors and in upholding effective corporate governance within the framework of the Constitution and relevant legislation.

Subcommittee responsibilities

Directors Appointment Responsibilities

  • Review Board size, composition and profile; recommend changes.
  • Set selection criteria and identify nominees; retain search and legal advisers as needed.
  • Assess qualifications of proposed appointees or nominees.
  • Recommend candidates for election at the AGM or to fill vacancies.
  • Through the National President, secure consent to act for approved appointees.
  • Recommend composition of Board Subcommittees and National Committees; review annually and fill vacancies.

Board Performance Responsibilities

  • Oversee Board operations and statutory responsibilities.
  • Annually review Board effectiveness and recommend enhancements.
  • Approve Director engagement of outside experts where appropriate.
  • Review the Board’s annual program, meeting cadence and forward agenda topics.
  • Set expectations for materials provided to Directors and Subcommittees.
  • Review governance disclosures in public documents.
  • Report to the Board at least once per two-year cycle on proceedings and recommendations.
  • Develop and annually review corporate governance guidelines.
